Wholesale Terms Of Trade
These Terms of Trade apply to all wholesale supply of products by 7th Cloud Natural Skincare (“Supplier”) to any
approved wholesale customer (“Customer”).
1. Definitions
Supplier means 7th Cloud Natural Skincare.
Customer means any business purchasing goods for resale.
Goods means all products supplied by the Supplier.
Price means the wholesale price charged for the Goods.
2. Pricing
Prices are in NZD and exclude GST unless stated otherwise.
Wholesale prices are current at the time of issue and subject to change with reasonable notice.
Orders confirmed prior to a price change will be honoured at the agreed price.
3. Orders
Orders may be placed via email or other approved ordering methods.
The Supplier reserves the right to accept or decline orders at its discretion.
Orders may not be cancelled once production has commenced.
4. Minimum Order Quantities
No minimum order quantities apply to standard wholesale products from the Supplier’s regular product range, unless
otherwise agreed
Minimum order quantities apply only to custom-manufactured or private-label products produced specifically for
the Customer.
Custom production minimums:
Soap Bars – Minimum 17 units per product type (mould batch size)
Lotions & Creams – Minimum 12 units per fragrance
These minimums reflect batch production requirements.
5. Payment Terms
5.1 New Customers: Payment for the Customer’s first order must be paid in full upfront prior to delivery or
commencement of services.
5.2 Subsequent Orders: Unless otherwise agreed in writing, payment for all subsequent orders is due on the 20th
of the month following the invoice date.
5.3 Overdue Accounts: Overdue accounts may incur interest of 2% per month calculated daily. The Customer
agrees to pay all reasonable debt recovery and legal costs incurred in recovering overdue payments.
6. Delivery
Delivery dates are estimates only.
The Customer is responsible for all delivery and freight costs unless otherwise agreed in writing.
The Supplier is not liable for delays caused by couriers, supply shortages, or events beyond reasonable control.
Risk in the Goods passes to the Customer once the Goods are dispatched from the Supplier.
7. Returns & Damaged Goods
Claims for damaged or incorrect Goods must be made within 48 hours of delivery.
Goods must not be returned without prior approval.
Approved returns must be unused and suitable for resale.
The Supplier may choose to replace, repair, or credit the Goods.
8. Product Handling & Resale
The Customer agrees to store products appropriately, display them in a clean retail environment, and not
misrepresent ingredients or product claims.
Products must not be repackaged or relabelled without written consent from the Supplier.
9. Soap Display Stands
Where a complimentary soap display stand is provided: - The stand remains the property of 7th Cloud Natural Skincare - The stand must be used only for displaying 7th Cloud Natural Skincare products - The stand must be maintained in good condition - If the retailer stops stocking the products, the stand must be returned within 14 days
Failure to return the stand may result in the retailer being invoiced for the replacement value.
10. Consumer Guarantees Act
Where Goods are purchased for business purposes, the Consumer Guarantees Act 1993 does not apply as
permitted by law.
11. Limitation of Liability
The Supplier’s liability is limited to the replacement value of the Goods supplied.
The Supplier is not liable for indirect or consequential loss.
12. Force Majeure
The Supplier is not liable for failure to perform obligations due to events beyond reasonable control including
natural disasters, supply chain disruptions, transport delays, or government restrictions.
13. Intellectual Property
All branding, product names, images, and marketing materials remain the property of 7th Cloud Natural Skincare
and may only be used to promote the Supplier’s products.
14. Suspension of Supply
The Supplier may suspend supply if payment terms are breached.
Outstanding balances become immediately due if the Customer becomes insolvent or ceases trading.
